Channel Affiliate/Partner Agreement

This Channel Affiliate/Partner Agreement (this "Agreement") is entered into between mayaNomics Forum ("Company", "we", "our", or "us"), located at Dufourstrasse 49, Zurich, Switzerland 8008, and you (the "Partner").
It describes how we will work together and outlines the legal aspects of our business relationship. This Agreement applies to your participation in our Partner Program (the "Partner/Affiliate Program"). These terms are foundational to our brand protection; you cannot participate in our Partner/Affiliate Program unless you agree to them in full.
We periodically update these terms. We might also choose to replace these terms in their entirety if the Partner/Affiliate Program changes or evolves. If we update or replace the terms, we or the Affiliate Tool will notify you via electronic means, which may include an in-app notification or email. If you do not agree to the update or replacement, you may choose to terminate your participation as described below.
For the purposes of this Agreement, "Affiliate Tool" means PartnerStack (or any subsequent software/tool that we make available to you upon your acceptance into the Program) for your use in tracking leads, clicks, conversions, and commissions.
1.Non-Exclusivity
This Agreement does not create an exclusive agreement between you and us. Both you and we have the right to recommend similar products and services of third parties and to work with other parties across global macro networks.
2.Partner Acceptance
Once you complete an application to become a Partner, we will review your application and notify you of your acceptance or rejection. Before accepting an application, we may reach out to you for additional background information. If we do not notify you that you are accepted to participate in the Program within thirty (30) days from your application, your application is considered rejected.
Upon notification of acceptance, the terms and conditions of this Agreement shall apply in full force and effect until terminated. You must comply with the terms and conditions of this Agreement and any associated Program Policies at all times.
3.Customer Transactions
Program Limits
Each accepted Affiliate Lead will expire according to the tracking window information provided within the Affiliate Tool (PartnerStack) from the date the lead clicked on your custom tracking link. We will pay you Commission as described in the Affiliate Tool for each new Customer who successfully activates a paid mayaNomics Forum Membership. Your Commission payment applies strictly to the initial qualifying membership transaction, subject to the details outlined in the Affiliate Tool. The Partner is not entitled to receive Commission on un-tracked manual renewals or bespoke institutional tier overrides unless explicitly noted in PartnerStack.
Eligibility
To be eligible for Commission:
1. The Affiliate Lead must be verified and tracked by the Affiliate Tool.
2. A valid Customer Transaction (paid membership activation) must have occurred.
3. The Customer must remain an active, paid member past the standard locking/refund period designated in the Affiliate Tool.
Disqualification
You are not eligible to receive Commission if:
1. Such compensation is disallowed or limited by applicable local, federal, or international laws and regulations.
2. The Commission payment has been obtained by fraudulent means, cookie stuffing, fake redirects, or misuse of the tracking link.
3. The lead is a pre-existing member or is already engaged in an active institutional sales sequence with the mayaNomics Forum.
General Partner Requirements
You represent, warrant, and covenant that you will:
1. Market and promote the mayaNomics Forum in an ethical, professional manner that reflects favorably upon our global reputation.
2. Avoid deceptive, misleading, or unauthorized marketing representations.
3. Comply with all foreign and domestic laws regarding digital marketing, including anti-spam regulations.
4. Strictly maintain the following positioning requirement: Partner shall never market, pitch, or represent the mayaNomics Forum as an investment fund, wealth manager, asset manager, broker-dealer, financial advisory, or transactional counterparty. Partner must strictly represent the Forum as an intellectual think-tank, network venue, and provider of self-sovereign capital frameworks and educational blueprints.
4.Authority
Partner acts strictly as an independent referrer and has no authority to distribute, resell, or make any financial commitments or legal agreements on behalf of the Company. Partner shall not make or provide any representations or warranties to any leads or third parties with respect to the Company that are unauthorized or inconsistent with official Company marketing collateral.
5.Engagement with Prospects
Once we have received the Affiliate Lead information through a tracking link or application form, we may elect to engage with the prospect directly at our sole discretion to complete the qualification or onboarding sequence.
6.License
Subject to compliance with this Agreement, the Company grants to Partner a revocable, non-transferable, worldwide, non-exclusive license during the Term to display the official partner links, logos, and graphic assets provided within the Affiliate Tool. Partner is granted no rights to sublicense, modify, or distribute our materials outside the scope of standard referral activity.
7.Commission and Payment
In order to receive payment under this Agreement, you must have: (i) agreed to the terms of this Agreement via the Affiliate Tool; (ii) completed all profile setup steps within PartnerStack; (iii) maintained a valid, up-to-date payment routing method; and (iv) completed all required tax documentation required by the Affiliate Tool to process international payments.
Forfeiture
If your payout profile, tax forms, or routing details remain incomplete or outstanding for six (6) months immediately following a recorded Customer Transaction, your right to receive Commission for that transaction will be permanently forfeited.
Third-Party Payment Processors
Company utilizes third-party Payment Processors within the Affiliate Tool to facilitate payouts. Partner is solely responsible for providing and maintaining current, correct banking and contact information. Payments will be made within forty-five (45) days after the close of the calendar month in which the corresponding membership funds are collected and cleared by the Company.
Taxes
Partner is solely responsible for the payment of all national, local, and international taxes or banking transfer fees applicable to the received Commission.
8.Quality Control & Trademarks
Any use by Partner of the mayaNomics Forum trademarks, logos, or content must conform to our brand standards. You must not use our trademark in a misleading, disparaging, or unlawful way, or in any manner implying that we endorse, sponsor, or approve of your independent products or services. You grant to us a nonexclusive, royalty-free right to display your logo/trademark on our portal strictly in connection with acknowledging your status as a Program Partner.
9.Proprietary Rights
No license to any internal software or database configuration is granted by this Agreement. The mayaNomics Forum Services, Body of Knowledge, Frameworks, and Manifestos are protected by international Intellectual Property laws and belong exclusively to us. Partner will not alter, conceal, or remove any copyright notices displayed on Company materials. All user feedback, suggestions, or comments submitted by Partners regarding our platform layout become the exclusive, non-confidential property of the Company.
10.Confidentiality
"Confidential Information" means all data and non-public market intelligence communicated by either party to the other, whether marked or unmarked. The Receiving Party agrees to protect the Disclosing Party's business plans, internal pricing structures, member rosters, and operational data from unauthorized third-party exposure during the Term and thereafter.
11.Term and Termination
Term
This Agreement applies for as long as you actively participate in the Program, until terminated by either party.
Termination Without Cause
Both you and we may terminate this Agreement at any time on fifteen (15) days written notice to the other party.
Termination for Cause
We may terminate this Agreement immediately if: (i) you breach any material provision of this contract; (ii) you engage in marketing behavior that negatively reflects on our prospects, members, or global standing; or (iii) you violate cross-border compliance or trade regulations.
Effects of Termination
Upon termination, you will immediately discontinue all use of our tracking links, logos, and brand references across your digital properties. If termination is executed without cause by us, you remain eligible to receive commissions on leads recognized within thirty (30) days post-termination. If termination is executed for cause by us, or without cause by you, all rights to outstanding or future commissions terminate immediately on the date of notice.
12.Indemnification
You will indemnify, defend, and hold harmless the Company (including our officers, directors, employees, and affiliates) against any third-party claim, suit, or legal action arising out of: (a) your participation in the Partner Program, (b) your breach of this Agreement, (c) your misuse of the Affiliate Tool, or (d) any unauthorized, deceptive, or non-compliant representations you make to prospects regarding the Forum's nature, regulatory position, or capital frameworks.
13.Disclaimers; Limitations of Liability
NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY. COMPANY'S AGGREGATE LIABILITY TO PARTNER UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT OF REFERRAL COMMISSION PAID TO PARTNER WITHIN THE TWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE CLAIM GIVING RISE TO SUCH LIABILITY. EXCEPT AS EXPRESSLY STATED HEREIN, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
14.General Provisions
Amendment
We reserve the right to update or change any part of this Agreement via PartnerStack notification. Continued participation in the program after a recorded text update constitutes your binding acceptance of the new terms.
Applicable Law and Jurisdiction
This Agreement, and any disputes arising out of or in connection with it, shall be governed exclusively by the substantive laws of Switzerland, without regard to conflict of law principles. The exclusive venue for all legal actions or proceedings arising under this Agreement shall be the competent courts of the Canton of Zurich, Switzerland.
Relationship of Parties
This Agreement creates an independent contractor relationship. No joint venture, partnership, employment, or formal agency relationship exists between you and us.
Severability
If any provision of this Agreement is deemed invalid or unenforceable, that specific provision will be modified to most closely match original intent, and the remainder of the Agreement will remain in full force.

Entire Agreement
This document constitutes the entire agreement between the Parties regarding the Partner/Affiliate Program, superseding all prior understandings, written or oral.
